SRCA Bylaws

Article 5, Board of Directors

Section 5.03 NUMBER AND TERM OF OFFICE

(a) Number. The board of directors shall consist of such number of directors, not less than five nor more than nine, as may be determined from time to time by resolution adopted by a majority of the directors then in office. A decrease in the number of directors under this paragraph (a) shall not have the effect of shortening the term of any incumbent director.

(b) Term. Each directorship shall have a term of three years. A director shall hold office until the expiration of the term for which he was elected and until his successor has been elected and qualified or until his earlier death, resignation or removal.

(c) Classes and Staggering of Terms. Upon the adoption of these amended and restated bylaws the board of directors shall divide the directors into three classes as nearly equal in number as possible and shall assign each incumbent director to a class. Directors of each class shall thereafter be elected to three-year terms as follows:

(i) The first class of directors shall be elected in 2013 and every third year thereafter;

(ii) The second class of directors shall be elected in 2014 and every third year thereafter; and

(iii) The third class of directors shall be elected in 2015 and every third year thereafter.

Upon any increase in the number of directors under paragraph (a), the board of directors shall allocate the additional directorship or directorships among the three classes, again keeping the classes as nearly equal in number as possible.
